of the

TEXAS MATHEMATICAL ASSOCIATION of

TWO-YEAR COLLEGES

Article I  -  Name

The name of this Association shall be the Texas Mathematical Association of Two-Year Colleges (TexMATYC).

 

 

Article II  -  Purpose

The Texas Mathematical Association of Two-Year Colleges is a nonprofit, education association.  Its purpose is:

 

a)  to encourage the development of effective mathematics programs;

 

b)  to afford a state forum for the interchange of ideas;

 

c)  to further develop and improve the mathematics education and mathematics related experiences of students in two-year colleges;

 

d)  to promote the professional welfare and development of its members;

 

e)  to provide the opportunity to study and keep abreast of new trends in mathematics;

 

f)  to promote professional cooperation and communication between teachers and administrators for the realization of sound educational achievements;

 

g)  to promote support for and involvement in the American Mathematical Association of Two-Year Colleges;

 

h)  The Texas Mathematical Association Of Two-Year Colleges is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (C) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

 

i)  No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensations for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of the organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of this document, the organization shall not carry on any other purposes not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (C) (3) of the Internal Revenue Code or corresponding section of any further federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (C) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

 

 

Article III  -  Membership

a)  Any teacher of mathematics or other person in sympathy with two-year college mathematics education is eligible for regular membership.

 

b)  Any institution in sympathy with the purposes of the Association or having offerings in mathematics at the two-year college level is eligible for institutional membership.

 

c)  Any local organization with similar purposes is eligible for affiliate membership.

 

 

Article IV  -  Dues

Dues are paid by all members at the designated rate set by the Executive Board.

 

 

Article V  -  Officers and Executive Board

a)  The officers of this Association shall be President, President-Elect, Immediate Past President,  Secretary, and  Treasurer.  The President-Elect automatically succeeds the President at the end of his/her term or when the President leaves office permanently.

 

b)  The Executive Board of this Association shall consist of the officers of the Association, the Vice-President of the Southwest Region of the American Mathematical Association of Two-Year Colleges (AMATYC), a TexMATYC delegate to the AMATYC Delegate Assembly, the TexMATYC Newsletter Editor, and the Webmaster.

 

 

Article VI  -  Meetings

a)  There shall be a minimum of one regular meeting of the Association each year.  This meeting will be held in conjunction with the spring meeting of the Texas Community College Teachers Association.

 

b)  The Executive Board of this Association shall meet or exchange correspondence a minimum of two times each year.  If possible, a meeting will be held in conjunction with the spring meeting of the Texas Section of the Mathematics Association of America.

 

 

Article VII  -  Committees

Committees are appointed, as needed, by the President subject to the approval of a majority of the Executive Board or by a majority of the Executive Board itself.  Appointed committees are dissolved by the Executive Board.

 

 

Article VIII  -  Amendment Procedure

This constitution or the By-Laws may be amended by a two-thirds vote of those members present and voting at any regular meeting, provided that written notice and a copy of any proposed amendment shall have been furnished to the membership prior to the meeting.

 

 

Article IX  -  Dissolution

If, at any time, the Association shall cease to carry out the purposes as herein stated, all assets and property held by the Association whether in trust or otherwise, shall, after payment of its liabilities, be paid over the American Mathematical Association of Two-Year Colleges to be used exclusively for any project, or educational purposes, as determined by the Executive Board of that organization.  In the event the American Mathematical Association of Two-Year Colleges is not in existence, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (C) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.  Any such assets not disposed of shall be disposed of by the court of Common Pleas of the county in which the principal office of the organization in then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.

 

 

 

 

BY-LAWS

 

 

Article I - Rules of Order

Robert's Rules of Order, Revised shall be the authority on all questions of procedures not specifically stated in this Constitution and By-Laws.

 

 

Article II - Qualifications, Terms and Duties of Officers and Other Members of the Executive Board

a)  Officers of this Association shall be active members of the Texas Mathematical Association of Two-Year Colleges.

 

b)  Terms of Office

  i.    Election of officers will be held in the spring of even numbered years by e-mail ballot as described below in Article VII.  Announcement of new officers will take place by e-mail or newsletter prior to June 1.  All officers shall assume the duties of their elective offices on June 1.

 

  ii.   The President, President-Elect, Secretary, and Treasurer shall serve for a period of two years.  If vacated, these offices shall be filled by the Executive Board for the remainder of the term.

 

  iii.  The TexMATYC representative to the AMATYC Delegate Assembly shall be appointed by the President with the approval of a majority of the Executive Board for a period of one year and shall be subject to reappointment.

 

  iv.   The Newsletter Editor and Webmaster shall be appointed by the President with the approval of a majority of the Executive Board for a minimum of two years and shall be subject to reappointment. A member of the Executive Board may hold one of these roles in addition to his/her current position on the Board.

 

c)  Duties of Officers

  i.    The President shall preside at all meetings of the Association and of the Executive Board, and shall administer the affairs of the Association.  He/she shall appoint all committees in a manner consistent with Article VII of the Constitution, and shall be an ex-officio member of all committees.  He/she shall prepare an annual report covering the activities of the Association.  This report shall be filed as a part of the permanent records of the Association.

 

  ii.   The Immediate Past President shall assist the President and the Executive Board.

 

  iii.  The President-Elect shall serve as Membership Chairman.

 

  iv.   The Secretary shall keep all records and minutes of meetings of the Association and of the Executive Board and shall be responsible for preserving the annual reports of historical records of the Association.

 

  v.    The Treasurer shall collect all dues and other income of the Association.  He/she shall pay all routine bills as provided by the annual budget and such other bills as approved by the Executive Board and the President, shall keep all financial records and make a financial report at each meeting.  A copy of these reports shall be filed as a part of the permanent records of the Association.

 

  vi.   The TexMATYC Representative to the AMATYC Delegate Assembly shall represent the Association on the Delegate Assembly of that national group and exercise all duties of an AMATYC delegate as specified in the AMATYC Constitution, By-Laws, and Policy Manual.

 

  vii.  The Newsletter Editor/Webmaster shall update and maintain the TexMATYC website on the Internet, prepare the TexMATYC Newsletter for publication and handle the distribution of the Newsletter to members of the Association.

 

 

Article III - Executive Board

The members of the Executive Board are defined in Article V of the Constitution.  This committee shall sit as the governing board of the Texas Mathematical Association of Two-year Colleges.  It shall have the power to transact the business of the Association, initiate, develop and determine the policies of the Association, work out the budget, and appoint officers as provided in the Constitution and By-Laws.

 

 

Article IV - Fiscal Year and Dues

a)  The fiscal year and membership year for the Association shall be determined by the Executive Board to best coincide with the AMATYC membership renewal procedure and with the needs of TexMATYC.

 

b)  Membership Dues - both for joint membership in AMATYC and TexMATYC and for individual affiliate, institutional dues in TexMATYC alone – shall be determined by the Executive Board as authorized in Article IV of the Constitution, subject only to the dues restrictions of the national AMATYC organization.

 

 

Article V - Meetings and Quorums

a)  There shall be a minimum of one meeting each year as specified in Article VI of the Constitution.  A quorum shall consist of 10% of the membership of the Association for that year.

 

b)  The Executive Board shall meet or correspond a minimum of two times each year as specified in Article VI of the Constitution.  A quorum for a meeting shall consist of a majority of the members of the Executive Board.

 

 

Article VI - Dues As Prerequisite For Active Participation

Eligibility to vote on Association business or in Association elections or to make nominations for officers of the Association or to serve on Association committees as a voting member or to be placed on the ballot for election of officers, or in any other way to participate actively in the business of the Association requires prior payment of dues for the fiscal year in which the membership activity is exercised.

 

 

Article VII - Nominations and Conduct of Election of Officers

a)  No later than February of each even-numbered year, the President shall appoint a Nominating Committee in a manner consistent with Article VII of the Constitution and name a Chairperson of that committee.

 

b)  No later than March of each even-numbered year, the Nominating Committee shall solicit and receive written nominations for offices up for election as indicated in Article II of the By-Laws.  Any member with current voting eligibility may nominate himself or herself or any other eligible member of the Association.  The written nomination shall include a current vita or resume for the nominee.

 

c)  Prior to April 15 of each year the Nominating Committee shall

  i.    select from the nominees two candidates for  President-Elect, Secretary, and Treasurer, and in addition provide on the ballot a blank for write-in voting for each office and

 

  ii.   send e-mail ballots to all members eligible to vote, if voting needs to occur after annual spring meeting.  The form of the ballot and directions for return of the ballot shall be determined by the Nominating Committee.  The election shall be completed in time for publication of the Association Newsletter prior to June 1.
